Coal India Limited has moved ahead with plans to list one of its largest coal-producing arms. On August 31, 2026, it filed the Draft Red Herring Prospectus (DRHP) for Mahanadi Coalfields Limited (MCL) with SEBI. The DRHP is the preliminary document a company submits before an IPO; it sets out the offer structure, business details and risks, but it does not yet carry a price or dates.
This draft describes a pure offer for sale (OFS). In an OFS, existing shareholders sell their shares to the public, so the proceeds go to the seller rather than to the company. Here, the seller is Coal India, and the money raised will go to the parent, not to MCL itself.
What the DRHP proposes
The offer comprises 66.18 crore equity shares with a face value of ₹2 each, sold entirely by Coal India as an OFS. According to news reports, the issue is estimated at roughly ₹10,000 crore, representing about a 10% stake in MCL. The ₹10,000 crore figure is a reported estimate and should be treated as such until the price band is filed.
Because the entire offer is a sale of existing shares, MCL will not receive any fresh capital from the IPO. For retail investors, this matters: a 100% OFS does not strengthen the company's balance sheet or fund new projects. If you are new to this distinction, our explainer on fresh issue versus OFS breaks down where the money actually goes.
Coal India's board had given in-principle approval for listing MCL on December 23, 2025, which set the process in motion ahead of the DRHP filing.
About the company
Mahanadi Coalfields is a subsidiary of Coal India and was established in 1992. It is headquartered in Sambalpur, Odisha, and operates across the Talcher and Ib Valley coalfields in the state.
On scale, the DRHP positions MCL strongly. It is reportedly the largest domestic coal producer by production in FY 2025-26, with coal production of 218.31 million tonnes, accounting for around 22.40% of India's total non-coking coal production, according to the filing summarised in press reports. The Talcher and Ib Valley coalfields reportedly held an estimated total coal resource of around 106.76 billion tonnes as of April 1, 2026.
These figures are drawn from reports summarising the DRHP rather than from a verified final prospectus, so treat them as indicative until confirmed in the RHP.
Financial snapshot
MCL's net worth reportedly stood at ₹18,278 crore as at the end of March 2025. A fuller picture of revenue, profit and margins should become available when the Red Herring Prospectus is filed. Reading those numbers carefully matters more in an OFS, where the valuation is the main variable for investors; our guide on how to analyse IPO financials from the RHP covers what to look for.
Offer structure and intermediaries
The DRHP sets the reservation split as 50% of the net offer for qualified institutional buyers (QIBs), 35% for retail individual investors (RIIs), and 15% for non-institutional investors (NIIs). This is the standard structure for a book-built mainboard issue. If these category terms are unfamiliar, see our note on QIB, NII and retail categories.
SBI Capital Markets Limited is the book running lead manager, and Kfin Technologies Limited is the registrar for the issue.
What is still unknown
Several of the details retail investors care about most have not been announced:
- The IPO price band has not yet been announced.
- The IPO opening and closing dates have not been announced.
- The listing date, lot size and anchor investor details are not yet disclosed.
Until these are filed, any valuation or listing expectation is speculation. A DRHP is a draft; SEBI may seek changes before the issue is cleared, and the final terms can differ.
How to read this one
MCL brings genuine scale as a coal producer, and the backing of Coal India gives it a long operating track record. At the same time, the 100% OFS structure means no new money flows into the business, and the coal sector carries its own long-term questions around energy transition, pricing and regulation. These are factors to weigh rather than reasons to act in either direction.
For investors tracking the broader state-owned pipeline, it is worth comparing MCL against other PSU listings and understanding how to read their coverage. Our piece on analysing PSU IPOs and FPOs is a useful companion.
