What is a Takeover / Delisting?
Open Offer / Takeover
When an acquirer buys 25%+ stake in a listed company, SEBI mandates an open offer to buy an additional 26% from public shareholders at a minimum offer price. You can tender your shares if you hold them.
Voluntary Delisting
A promoter group can voluntarily delist a company by buying enough shares to exceed 90% holding. The floor price is discovered via reverse book building. Shareholders can tender shares at or above the floor price.
